Terms & Conditions

Please review the merchant terms before accessing our gateway infrastructure

1. Acceptance of Terms & Legal Capacity

By creating an account, downloading our Android Companion App, integrating our APIs, or accessing any services provided by PixVibe UPI ("Platform", "We", "Us", "Our"), you ("Merchant", "User", "You") explicitly acknowledge and agree to be bound by these Terms and Conditions in full. If you do not agree with these terms, you must immediately discontinue using the Platform.

2. Nature of Software & Non-Intermediary Declaration

PixVibe UPI is strictly a Software-as-a-Service (SaaS) technology provider.

  • We provide automated payment telemetry, UPI QR intent generation, and instant order verification webhook bridging software.
  • We are NOT a Bank, Non-Banking Financial Company (NBFC), Payment Aggregator (PA), Payment Gateway (PG), or Escrow service provider.
  • Zero Fund Custody: We DO NOT collect, hold, pool, manage, settle, or have custody over merchant or customer funds at any point in time.
  • 0% Commission Policy: We charge zero transaction commission on incoming merchant volume. Platform access is governed exclusively by software subscription license plans.

3. Direct Peer-to-Peer (P2P / P2M) Settlement

  • All customer payments are routed directly from the customer's bank account to the merchant's linked bank account via NPCI UPI rails (PhonePe, Google Pay, Paytm, BharatPe, HDFC, SBI, ICICI, etc.).
  • The Platform never receives or holds settlement money. Therefore, all refunds, transaction disputes, delivery fulfillments, and chargebacks are solely the merchant's commercial responsibility.

4. Android Companion App & Device Telemetry

  • The Platform utilizes an Android Companion App installed directly on the merchant's designated receiver device to automate transaction verification.
  • The Companion App operates strictly locally on the merchant's hardware, parsing payment credit receipts and bank SMS to dispatch automated webhook triggers to the merchant's gateway instance.
  • The merchant warrants that they have full ownership and legal authorization over the device and UPI VPAs linked to the platform.

5. Acceptable Use Policy & Strictly Prohibited Businesses

The Merchant agrees to use the platform exclusively for legal, bona fide commercial transactions. Zero Tolerance: The Platform strictly prohibits using our software for:

  • Illegal gambling, betting, unauthorized lottery, fantasy sports violating state laws, or games of chance.
  • Adult entertainment, escort services, or explicit content.
  • Sale of prohibited narcotics, controlled substances, unlicensed pharmaceuticals, or counterfeit goods.
  • Ponzi schemes, multi-level marketing (MLM), unauthorized forex/crypto investments, or financial solicitation.
  • Phishing, money laundering, cyber extortion, or unauthorized banking fraud.

Violation of this clause results in immediate account termination without refund and may be reported to law enforcement authorities under the Information Technology Act, 2000 and Prevention of Money Laundering Act (PMLA).

6. Merchant KYC & Verification

To prevent malicious misuse, the Platform reserves the right to request proof of merchant identity (PAN, Aadhaar, Business Registration, or Bank VPA ownership). Failure to provide verifiable documentation upon compliance inquiry may lead to suspension of API access.

7. Indemnification & Limitation of Liability

  • The Merchant agrees to indemnify, defend, and hold harmless PixVibe UPI, its owners, operators, and affiliates against any and all claims, liabilities, losses, damages, penalties, or legal fees arising from the merchant's commercial transactions, buyer disputes, tax liabilities, or regulatory non-compliance.
  • Under no circumstances shall the Platform be liable for indirect, incidental, punitive, or consequential damages, or loss of profits arising from third-party bank downtime, NPCI delays, or network interruptions.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
